These Terms and Conditions (“Terms”) are a legally binding agreement between you (“Client,” “you”) and Rebel LLC, doing business as Xilo.Design (“Xilo.Design,” “Company,” “we,” “us”). These Terms govern your purchase and use of the services offered through https://xilo.design (the “Site”).
Xilo.Design offers, among other services: (i) website design and development, (ii) web hosting, and (iii) hosting-related technical support. Services may be purchased as fixed packages, custom services, or a combination thereof, as described on the relevant checkout page.
No legal, tax, or compliance advice. We do not provide legal, tax, accessibility (ADA/WCAG), or regulatory compliance advice. You are responsible for determining whether your site meets any legal or industry requirements.
All Services are purchased online through the Site.
Website design services will begin only after (a) payment has been confirmed and (b) you have provided all required Client Materials. Once materials are received, an initial meeting may be scheduled and the design process will begin.
You agree to provide requested Client Materials promptly. The current expectation is delivery within three (3) days, unless otherwise agreed. If you do not provide required materials, the project will not start and timelines will be suspended.
All payments are processed through Stripe.
Prices displayed on the Site do not include taxes unless expressly stated otherwise. You are responsible for any applicable taxes, duties, or government charges.
We may modify pricing at any time; changes will not affect Services already purchased.
If you initiate a chargeback or payment dispute for amounts legitimately owed, we may pause work, suspend hosting/support, and/or require payment resolution before continuing. This does not limit any other remedies we may have.
Website design services are charged as a one-time-payment fee.
Hosting and technical support are provided as a monthly subscription at $25 USD/month. Subscription charges renew automatically unless canceled in accordance with Section 18.2.
The estimated delivery timeline for website projects is seven (7) business days from the date we have confirmed payment and received all required Client Materials. This is an estimate, not a guarantee, and depends on timely Client cooperation.
Your purchase includes up to three (3) rounds of revisions. Revisions beyond the included rounds will incur a fee of $100 USD per additional revision. Changes that alter the original scope may require a new quotation or separate agreement.
Refund requests must be made within fourteen (14) calendar days of payment and before the design process has started. Once the design process has begun, no refunds will be issued due to the customized nature of the Services.
The cost of a domain name is not included in any Xilo.Design service. A domain may be purchased by Xilo.Design for an additional fee or provided directly by you. We are not responsible for renewal, availability, or loss of domains managed by third parties.
You represent and warrant that you own or have the necessary rights, licenses, and permissions to provide and use all Client Materials, including text, images, logos, fonts, and trademarks.
You agree to defend, indemnify, and hold harmless Xilo.Design and its owners, officers, employees, contractors, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your Client Materials, your breach of these Terms, your misuse of the Site or Services, or your violation of any law or third-party rights.
Unless otherwise agreed in writing, all source code developed remains the property of Xilo.Design.
Upon full payment of the applicable fees, Xilo.Design grants you a limited, non-exclusive, non-transferable license to use the Deliverables for your internal business purposes and for operating your website. This license does not include any right to resell, sublicense, distribute, or create derivative works from the underlying source code unless expressly permitted in writing.
If you wish to obtain and migrate the source code for the standard $950 USD package, an additional one-time-payment fee of $500 USD applies, unless otherwise agreed in writing. For custom projects, code ownership and transfer terms will be agreed in writing at the time of purchase.
You grant Xilo.Design permission to display the completed project, including screenshots and your name/logo, in our portfolio and marketing materials, unless you notify us in writing before project delivery.
Your website may rely on Third-Party Services. You acknowledge that Third-Party Services are provided under their own terms and privacy policies, and we do not control or guarantee their performance, availability, or security.
Hosting is provided on an “as-is” and “as-available” basis. We do not guarantee uninterrupted availability, error-free operation, or any specific uptime level.
We may implement reasonable security measures, but you acknowledge that no system can be guaranteed 100% secure. You are responsible for safeguarding your credentials and for any actions taken under your accounts.
Unless expressly included in your plan or a separate written agreement, you are responsible for maintaining your own backups of website content and data.
We provide a thirty (30) day limited warranty following delivery, limited solely to technical errors attributable to our work.
EXCEPT AS EXPRESSLY STATED IN SECTION 15.1, THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT GUARANTEE ANY BUSINESS OUTCOMES OR RESULTS, INCLUDING SEARCH ENGINE RANKINGS, TRAFFIC, LEADS, SALES, CONVERSION RATES, REVENUE, OR RETURN ON INVESTMENT.
To the maximum extent permitted by law, in no event will Xilo.Design be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages.
Cap on liability: in no event will Xilo.Design’s total liability exceed the amount actually paid by you for the Services giving rise to the claim.
We will not be responsible for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, power outages, internet service failures, governmental actions, labor disputes, pandemics, or third-party service interruptions.
We may suspend Services, including hosting/support, for nonpayment, suspected fraud, security risks, or material breach of these Terms.
You may cancel hosting and support at any time. Cancellation takes effect at the end of the current billing cycle, and no prorated refunds are provided for unused time.
We may terminate these Terms and/or Services if you materially breach these Terms and fail to cure within a reasonable period after notice.
Personal data is handled in accordance with our Privacy Policy available at https://xilo.design/privacy.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration and not in court, except as stated in Section 21.2.
Either party may bring an individual claim in small claims court if it qualifies.
Unless otherwise agreed, arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
YOU AND XILO.DESIGN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
You may opt out of this arbitration provision by sending written notice to contact@xilo.design within 30 days of your first purchase under these Terms.
Xilo.Design performs Services as an independent contractor.
These Terms constitute the entire agreement between you and Xilo.Design regarding the Services.
If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
Failure to enforce a provision is not a waiver.
You may not assign these Terms without our prior written consent.

Sections that by their nature should survive termination will survive.
